Bank Mergers and Consolidations in India
Explore the evolution, rationale, and timelines of bank mergers in India, from historic amalgamations to the 2017 SBI consolidation, 2019 BoB merger, and the 2020 mega-merger.
Evolution of Bank Consolidation in India
The landscape of Indian banking has undergone a profound structural shift from a fragmented network of numerous public sector banks to a consolidated system of large, well-capitalized lenders. In the decades following the nationalization waves of 1969 and 1980, India operated with dozens of state-owned banks. While this vast branch network democratized credit and expanded rural reach, it also led to severe operational redundancies, capital inefficiencies, and fragmented balance sheets unable to fund mega-infrastructure projects independently.
The need to restructure Indian banking became undeniable after the economic reforms of 1991. The Narasimham Committee on Banking Sector Reforms first presented the blueprint for consolidation in its 1991 and 1998 reports. The committee recommended a three-tier architecture: three to four large global banks capable of competing internationally, eight to ten national banks with pan-India footprints, and a network of regional or local institutions catering to grassroots credit.
Between 2017 and 2020, the Government of India, in consultation with the Reserve Bank of India (RBI), executed a decisive multi-phase consolidation program. Through major landmark amalgamations, the total number of Public Sector Banks (PSBs) was streamlined from 27 down to 12. This transformation reshaped credit delivery, bad loan management, technology standards, and the financial stability of the Indian economy.
Economic and Strategic Rationale for Bank Mergers
The consolidation of commercial banks is driven by fundamental economic principles. In a competitive market, small and fragmented banks often struggle with high operating costs, limited risk absorption capacity, and inadequate capital to support large-scale credit demands.
Recommendations of Landmark Committees
The push for bank consolidation in India originated from several expert committees appointed by the Central Government and the RBI:
-
Narasimham Committee I (1991) and II (1998): Emphasized that Indian banks must attain international size and scale. The second committee firmly cautioned against merging weak banks with strong banks purely as a bailout measure, advocating instead for mergers between strong institutions to generate genuine business synergies.
M.S. Verma Committee (1999): Examined the restructuring of weak public sector banks. It recognized that persistent operational inefficiencies in smaller institutions required comprehensive rehabilitation or strategic consolidation.
P.J. Nayak Committee (2014): Focused on governance reforms in public sector bank boards. It argued that the government should reduce its direct involvement in day-to-day operations and empower bank boards to pursue strategic amalgamations based on commercial viability.
Core Economic Drivers of Consolidation
Several economic factors made the consolidation of Indian public sector banks essential:
-
Scale and Global Competitiveness: Prior to 2017, no Indian bank except State Bank of India featured among the top 100 global banks by asset size. A larger balance sheet allows banks to compete internationally, secure cheaper funds from global markets, and underwrite massive credit facilities required by heavy infrastructure projects.
Capital Efficiency under Basel III Norms: Stricter capital adequacy standards under the Basel III framework required banks to maintain higher equity buffers. Consolidating institutions allowed the Government of India to allocate recapitalization funds more efficiently across a smaller group of well-managed anchor banks.
Absorption and Resolution of Non-Performing Assets: The Indian banking system faced severe balance sheet distress during the mid-2010s due to accumulated bad loans. Larger consolidated entities possess higher operating profits and broader capital bases, allowing them to absorb bad debt write-offs, provide for provisioning, and deploy dedicated specialized recovery mechanisms.
Technology Harmonization and Cost Rationalization: Operating dozens of separate IT networks and duplicate data centers created massive overhead expenses. Mergers enabled banks to unify their Core Banking Solutions (CBS), eliminate overlapping branch networks in the same commercial hubs, and reduce procurement costs for hardware, cybersecurity, and digital software.
Legal and Regulatory Framework for Bank Mergers
The merger of banking institutions in India does not follow ordinary corporate merger procedures under the Companies Act alone. Because banks hold public deposits and maintain systemic stability, amalgamations are governed by specialized banking legislation and direct regulatory oversight by the RBI.
Voluntary Amalgamation under Section 44A
Private sector commercial banks and banking companies seeking voluntary amalgamation operate under Section 44A of the Banking Regulation Act, 1949:
-
Draft Scheme Approval: The Boards of Directors of the participating banks must approve the proposed scheme of amalgamation.
Shareholder Resolution: The scheme must be submitted to the shareholders of each bank at a meeting convened for that purpose. It requires approval by a majority in number representing two-thirds in value of the shareholders present and voting.
Public Notification: Notice of the meeting must be published once a week for three consecutive weeks in at least two local newspapers.
Rights of Dissenting Shareholders: Shareholders who vote against the scheme are entitled to receive the value of their shares as assessed and determined by the RBI, whose valuation remains final.
Sanction by RBI: The amalgamation scheme becomes legally effective only after receiving formal sanction from the RBI.
Compulsory Amalgamation under Section 45
When a banking institution experiences severe financial distress, insolvency risk, or governance breakdown, the RBI steps in under Section 45 of the Banking Regulation Act, 1949:
-
Order of Moratorium: Historically, the RBI applied to the Central Government to place the troubled lender under a temporary moratorium (for up to six months). During this window, depositor withdrawals were capped and legal proceedings against the bank were suspended.
Formulation of Scheme: While the bank was under moratorium, the RBI formulated a binding scheme of reconstruction or compulsory amalgamation with a financially sound bank to protect depositor savings and ensure systemic stability.
Banking Regulation (Amendment) Act, 2020: A landmark amendment revised Section 45 to allow the RBI to prepare and implement a scheme of reconstruction or amalgamation without first imposing a moratorium. This crucial change prevents sudden panic, avoids deposit withdrawal freezes, and preserves public trust during bank resolutions.
Amalgamation of Public Sector Banks
Public sector banks operate under specific statutory charters rather than standard company law. Their consolidation is governed by:
-
Section 9 of the Banking Companies (Acquisition and Transfer of Undertakings) Acts, 1970 and 1980: Empowers the Central Government, in consultation with the Reserve Bank of India, to frame schemes for the amalgamation of nationalized banks.
The Alternative Mechanism (AM): In August 2017, the Union Cabinet established a ministerial committee known as the Alternative Mechanism, headed by the Union Finance Minister. This body examines, guides, and approves proposals for public sector bank mergers before seeking final approval from the Union Cabinet.
Historic Bank Amalgamations in India (Pre-2017)
Before the large-scale strategic mergers initiated in 2017, bank amalgamations in India were primarily rescue operations. Regulators used mergers as an emergency tool to protect depositors and prevent contagion when individual private or public banks experienced severe capital depletion.
The 1993 New Bank of India Merger with PNB
The amalgamation of New Bank of India (NBI) into Punjab National Bank (PNB) in 1993 represents a historic milestone. It was the first instance of a merger between two nationalized banks following the nationalization waves.
New Bank of India, which had been nationalized in the second wave in 1980, suffered from severe bad loans, capital erosion, and operational losses. To prevent insolvency and protect depositor interests, the Central Government merged NBI into PNB in September 1993 under Section 9 of the Banking Companies (Acquisition and Transfer of Undertakings) Act, 1980.
Shareholders of NBI received one equity share of PNB for every two shares of NBI held (a 1:2 swap ratio). While the merger successfully protected all public deposits, it also highlighted the operational friction of combining state-owned lenders. Disagreements over employee seniority, branch rationalization, and surplus staffing triggered prolonged litigation in the Allahabad High Court, providing valuable lessons for future consolidations.
Regulatory Rescue Amalgamations of Troubled Lenders
Between 1990 and 2015, the RBI orchestrated several compulsory amalgamations under Section 45 of the Banking Regulation Act to rescue struggling private banks:
-
Nedungadi Bank with PNB (2003): Founded in 1899, Nedungadi Bank was India’s oldest private sector bank. After severe financial irregularities and capital depletion, the RBI merged it into Punjab National Bank in 2003.
Global Trust Bank (GTB) with Oriental Bank of Commerce (2004): GTB was one of the earliest new-generation private banks licensed in 1994. Heavy speculative exposures to stock markets and surging non-performing assets wiped out its net worth. On July 24, 2004, the RBI placed GTB under a temporary moratorium and merged it into state-owned Oriental Bank of Commerce (OBC) within days, ensuring zero deposit losses.
Other Notable Rescues: These included the merger of Bank of Karad with Bank of India (1994), Bareilly Corporation Bank with Bank of Baroda (1999), and Benares State Bank with Bank of Baroda (2002).
Strategic Consolidations in the Private Sector
Alongside regulatory rescue operations, several private commercial banks pursued market-driven voluntary mergers under Section 44A to expand their geographic reach, acquire branch networks, and achieve economies of scale:
-
HDFC Bank Mergers: HDFC Bank absorbed Times Bank in 2000 and later acquired Centurion Bank of Punjab in 2008, establishing a dominant national retail footprint.
ICICI Bank Consolidations: ICICI Bank acquired Bank of Madura in 2001, Sangli Bank in 2007, and Bank of Rajasthan in 2010. In 2002, parent entity ICICI Limited executed a historic reverse merger with its subsidiary ICICI Bank to form a single universal banking giant.
Kotak Mahindra Bank and ING Vysya Bank (2015): Kotak Mahindra Bank completed an all-stock amalgamation with ING Vysya Bank, giving Kotak an extensive branch footprint across Southern India and a substantial SME loan portfolio.
The 2017 SBI Mega Consolidation
The first modern structural consolidation in the public sector began with the State Bank of India (SBI). Historically, the SBI Group functioned under a federal structure comprising the parent bank and seven subsidiary associate banks created under the State Bank of India (Subsidiary Banks) Act, 1959.
Earlier test mergers had already occurred when State Bank of Saurashtra was merged into SBI in August 2008, followed by State Bank of Indore in August 2010. However, the comprehensive mega-merger was implemented on April 1, 2017, under the leadership of SBI Chairman Arundhati Bhattacharya.
Participating Entities
The 2017 consolidation merged six distinct banking institutions into SBI simultaneously:

Approved Share Swap Ratios
To compensate minority public shareholders in the listed associate banks and the Central Government for BMB, the following swap ratios were implemented:
-
SBBJ: Shareholders received 28 equity shares of SBI (face value ₹1 each) for every 10 equity shares of SBBJ held (face value ₹10 each).
SBM and SBT: Shareholders received 22 equity shares of SBI for every 10 equity shares held.
Bharatiya Mahila Bank: SBI allotted 4.42 crore equity shares to the Government of India in exchange for 100 crore shares of BMB (equivalent to 4.42 SBI shares per 100 BMB shares).
SBH and SBP: Because State Bank of Hyderabad and State Bank of Patiala were wholly owned subsidiaries of SBI, no public share swap was required. Their assets and liabilities were merged directly line by line.
Systemic and Structural Impact
The merger transformed SBI into an unprecedented financial behemoth:
-
Global Ranking: SBI became the first Indian bank to enter the top 50 global banks by asset size, ranking approximately 45th internationally.
Asset and Branch Footprint: The combined balance sheet expanded beyond ₹30 lakh crore, managing over 24,000 branches, 59,000 ATMs, and serving more than 42 crore customers.
Operational Efficiencies: SBI unified treasury management, combined foreign exchange desks, and closed or relocated over 1,500 duplicate branches located in the same geographic clusters.
Asset Quality Harmonization: The consolidation led to an immediate short-term spike in SBI’s non-performing assets. The associate banks had followed divergent credit assessment standards, requiring SBI to make substantial upfront provisioning to align bad loan classifications.
The 2019 Bank of Baroda Consolidation
On April 1, 2019, India completed its first three-way amalgamation involving public sector banks. Bank of Baroda (BoB) served as the anchor bank, absorbing Vijaya Bank and Dena Bank.
This consolidation served as an important test case for testing the government’s anchor bank strategy. The objective was to combine banks with complementary operational profiles to create a resilient, diversified financial institution.
Strategic Rationale of the Three-Way Combination
The three participating lenders represented distinct financial and operational profiles:
-
Bank of Baroda (Anchor Bank): A tier-one public sector lender with an established pan-India presence, advanced corporate banking systems, and the largest overseas network among Indian nationalized banks.
Vijaya Bank (Profitable Partner): A well-capitalized, profitable institution with a strong retail and SME deposit base, low bad loan ratios, and a dense branch network across Southern India.
Dena Bank (Distressed Partner): A regional lender suffering from severe asset quality deterioration. Dena Bank’s gross non-performing assets had crossed 22%, causing the RBI to place it under the Prompt Corrective Action (PCA) framework, which barred it from fresh lending and branch expansion.
By combining Dena Bank with two financially sound partners, the government resolved the distressed lender’s capital crisis without triggering depositor panic or liquidating assets.
Share Swap Ratios
Under the approved amalgamation scheme, equity shareholders of the transferor banks received shares in Bank of Baroda:
-
Vijaya Bank Shareholders: Received 402 equity shares of Bank of Baroda (face value ₹2 each) for every 1,000 equity shares of Vijaya Bank held.
Dena Bank Shareholders: Received 110 equity shares of Bank of Baroda for every 1,000 equity shares of Dena Bank held.
Fractional Entitlements: Any fractional shares arising from the swap calculation were settled through direct cash payments to eligible shareholders.
Operational and Technological Synergy
The Bank of Baroda amalgamation was particularly notable for its technological integration. Because all three participating institutions already ran on the Finacle Core Banking Solution developed by Infosys, IT data migration was executed smoothly. The unified bank emerged as the third-largest commercial bank in India at that time, boasting over 9,500 branches, 13,400 ATMs, and an advance book spanning corporate, retail, and agricultural credit.
The 2020 Mega Consolidation: 10 Public Sector Banks into 4
Building on the successes of the 2017 and 2019 mergers, the Government of India announced the largest consolidation exercise in Indian banking history on August 30, 2019. Coming into formal effect on April 1, 2020, ten public sector banks were consolidated into four anchor institutions.
This mega-amalgamation was designed to create scale-driven financial institutions with strong regional presence, modern technology platforms, and substantial lending capacities.
1. Punjab National Bank (Anchor Bank)
Punjab National Bank absorbed Oriental Bank of Commerce (OBC) and United Bank of India (UBI):
-
Strategic Synergy: The merger combined PNB’s vast northern reach with OBC’s aggressive corporate and retail presence, while United Bank of India added an extensive network across Eastern and North-Eastern India.
Resulting Scale: The amalgamation created the second-largest public sector bank in India, positioned right behind SBI in terms of total business volume and branch distribution.

Resulting Scale: Canara Bank emerged as the fourth-largest public sector bank, operating over 10,000 branches and maintaining a massive presence in agricultural credit, educational loans, and micro-enterprises.

The 12 Public Sector Banks of India
The multi-year consolidation drive fundamentally reshaped state-owned banking in India. In 2017, the country had 27 public sector banks, comprising the State Bank of India with its five associate banks and Bharatiya Mahila Bank, along with 19 nationalized commercial banks and IDBI Bank (which was re-categorized as a private bank following Life Insurance Corporation acquiring majority control in 2019).
Following the successive amalgamations completed in 2017, 2019, and 2020, the number of public sector banks was streamlined to 12 banks.
Structure of the Modern Public Sector Banking Landscape
The current twelve public sector banks are divided into two distinct operational groups:
-
Six Consolidated Anchor Banks: State Bank of India, Punjab National Bank, Bank of Baroda, Canara Bank, Union Bank of India, and Indian Bank. These institutions absorbed other commercial lenders to form large, diversified balance sheets.
Six Standalone (Unmerged) Banks: Bank of India, Central Bank of India, Indian Overseas Bank, UCO Bank, Bank of Maharashtra, and Punjab & Sind Bank. These institutions retained their independent corporate identities, focusing on regional depth, specialized credit niches, and grassroots service delivery.

Strategic Advantages and Economic Synergies
The structural consolidation of public sector banks yielded substantial economic benefits, transforming the balance sheets and operational capabilities of Indian lenders.
Economies of Scale and Operational Cost Synergies
Consolidation eliminated extensive cost duplications across the banking system:
-
Branch Network Optimization: Prior to the mergers, multiple public sector banks operated branches within meters of each other on the same commercial streets. Post-merger, anchor banks rationalized hundreds of overlapping urban branches, converting redundant offices into specialized recovery centers, wealth management hubs, or relocating them to unbanked rural districts.
Centralized Administrative Costs: Merging administrative structures eliminated duplicate regional offices, zonal directorates, and board secretariats, sharply lowering general operating expenses.
Unified IT and Procurement: Instead of ten separate IT vendor contracts and data centers, consolidated banks negotiated enterprise-level licensing for software, cybersecurity infrastructure, and ATM networks at significant volume discounts.
Enhanced Underwriting Capacity and Higher Lending Limits
Under the RBI’s Large Exposure Framework (LEF), a commercial bank cannot lend more than 20% of its Tier-1 capital base to a single counterparty (extendable to 25% under specific board approvals).
Before consolidation, individual smaller public sector banks had limited capital bases, preventing them from financing mega-infrastructure projects independently. Consortium lending was required, where ten to fifteen banks split a single loan, leading to bureaucratic delays and coordination failures when projects ran into distress. The mega-banks created through consolidation possess the balance sheet capacity to underwrite massive industrial credit, highways, ports, and renewable energy corridors directly.
NPA Consolidation and Asset Resolution Efficiency
The consolidation drive systematically addressed the chronic bad loan challenge that plagued Indian public sector banks:
-
Unified Stressed Asset Management: Instead of multiple banks pursuing the same defaulting borrower through disconnected legal actions, the merged entity created centralized Stressed Asset Management Branches (SAMBs).
Stronger Insolvency Negotiations: Under the Insolvency and Bankruptcy Code (IBC), 2016, decisions in the Committee of Creditors (CoC) require a 66% majority vote by financial creditors. By consolidating claims that were previously split among several public sector banks, the single anchor bank commanded dominant voting power in the CoC, expediting debt resolution and preventing delayed liquidations.
Capital Optimization and Self-Sustaining Solvency
Consolidation relieved significant fiscal pressure on the Government of India. Rather than injecting taxpayer money into multiple undercapitalized and loss-making lenders every year, the government concentrated capital infusions into the anchor banks.
With stronger balance sheets, cleaner asset books, and higher operating profits, the consolidated banks improved their Capital to Risk-Weighted Assets Ratio (CRAR) well above the mandatory Basel III threshold of 11.5%. By 2022, several consolidated public sector banks began raising capital directly from private equity and debt markets, achieving self-sustaining financial health without government budgetary support.
Operational Challenges and Post-Merger Realities
While the structural benefits of consolidation are profound, merging massive financial institutions involves complex operational hurdles. The integration process often requires several years of intensive management to stabilize fully.
Human Resources and Cultural Friction
Managing workforce integration represents one of the most delicate challenges in bank mergers:
-
Seniority and Promotion Disparities: Merging two or three distinct officer cadres requires harmonizing seniority lists, promotion policies, and performance assessment frameworks. An employee with ten years of service in an absorbed bank may perceive their career advancement stalled when integrated behind officers of the anchor bank.
Pay and Allowance Standardization: While basic wage settlements for public sector bank employees are negotiated nationally through the Indian Banks’ Association (IBA) bipartite settlements, banks maintained differing local allowances, welfare schemes, and medical benefits that required standardizing.
Cultural Clashes and Trade Union Resistance: Each bank operated with a distinct organizational culture. Regional lenders often enjoyed close personal ties with local merchant communities, whereas larger anchor banks relied heavily on centralized corporate hierarchies. Strong bank employee unions frequently voiced concerns regarding job security, transfer policies, and workload intensification.
Technological Integration and Core Banking Migration
Merging IT platforms is the single most critical technical challenge during an amalgamation:
-
Core Banking Solution (CBS) Disparities: While institutions using the same platform (such as Bank of Baroda, Vijaya Bank, and Dena Bank on Infosys Finacle) integrated rapidly, combining banks running on different platforms or vastly different customized software versions required complex data migration architectures.
Customer System Harmonization: Banks had to migrate millions of customer records, map new Indian Financial System Codes (IFSC) and Magnetic Ink Character Recognition (MICR) codes, reissue cheque books, and replace debit cards without disrupting daily transactions, NEFT/RTGS payments, or automated clearing house mandates.
Cybersecurity and Data Integrity: Transferring petabytes of sensitive financial records across database infrastructures created temporary operational vulnerabilities, demanding rigorous third-party security audits before complete system cutovers.
Short-Term Asset Quality Drag
In the immediate quarters following an amalgamation, anchor banks almost universally experienced a temporary deterioration in reported asset quality. This occurred because anchor banks applied their stricter, automated loan-tagging criteria to the loan books of absorbed institutions, unearthing unrecognized bad loans and requiring higher upfront provisioning.
Recent Developments in Private Sector Consolidations
While public sector mergers were primarily policy-driven initiatives orchestrated by the government and the RBI, the private sector has witnessed significant market-driven and regulatory-mandated consolidations.
The Historic HDFC Twin Merger (2023)
On July 1, 2023, India witnessed the largest corporate amalgamation in its financial history when mortgage pioneer Housing Development Finance Corporation (HDFC Limited) merged into its banking subsidiary, HDFC Bank:
-
Strategic Objective: The merger brought India’s largest non-banking housing finance company directly into the regulatory fold of scheduled commercial banking. It enabled HDFC Bank to originate long-term home loans seamlessly while providing HDFC Limited access to HDFC Bank’s vast low-cost CASA (Current Account and Savings Account) deposit base.
Global Financial Stature: The unified entity commanded a combined balance sheet of over ₹31 lakh crore, propelling HDFC Bank into the top five global banks by market capitalization, alongside giants like JPMorgan Chase, Bank of America, and Industrial and Commercial Bank of China.
The Lakshmi Vilas Bank Resolution (2020)
In November 2020, the RBI demonstrated an unprecedented regulatory approach to resolve deep financial distress at Chennai-based Lakshmi Vilas Bank (LVB):
-
Moratorium and Immediate Action: Facing severe governance breakdowns, negative net worth, and gross NPAs exceeding 24%, the RBI placed LVB under a short 30-day moratorium on November 17, 2020.
First Cross-Border Resolution: Instead of forcing a state-owned bank to absorb the losses, the RBI invoked Section 45 to merge LVB into DBS Bank India Limited (DBIL), the wholly owned subsidiary of Singapore’s DBS Group.
Capital Infusion: DBS Group injected ₹2,500 crore in fresh equity, completely absorbing LVB’s branch network and protecting all retail depositor savings without deploying a single rupee of Indian taxpayer money.
Analogy · Merging Local Irrigation Canals into a Regional Canal Grid Expand analogy
Think of multiple small village irrigation canals operated independently by individual panchayats. Each small canal struggles during severe droughts, maintains separate pumping motors with duplicate fuel expenses, and cannot irrigate a massive industrial farm on its own. When the state integrates them into a unified regional canal grid, water reserves (capital) are pooled together, pumping maintenance costs (operating overheads) drop significantly, and the combined water flow becomes powerful enough to supply massive agricultural projects and withstand severe seasonal shortages.
Key Takeaways
-
The structural consolidation of Indian public sector banks reduced the total number of state-owned banks from 27 in 2017 to 12 in 2020, creating six consolidated anchor banks and six standalone banks.
